Terms of Service

1. Description of Service

CleanSlate AI provides an autonomous AI-powered operations platform for commercial cleaning businesses. The Service includes an AI employee ("Ace") that handles crew management, shift scheduling, lead qualification, client communications, invoicing, and proposal generation primarily via SMS. A web dashboard is provided for business management.

2. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old and have the authority to bind the business entity you register. A dedicated business phone number is provisioned per business account.

3. Subscription and Billing

The Service is offered on a monthly subscription basis. Pricing is tiered by active crew count:

• •Growth (16-30 crew): $499/month
• •Scale (31-50 crew): $699/month
• •Enterprise (50+ crew): Contact us for custom pricing

4. Money-Back Guarantee

Try Ace risk-free for 30 days. If the Service is not the right fit for your business within your first 30 days, contact us for a full refund of your first month's subscription fee. No questions asked.

5. Integrated Payments (Stripe Connect)

The Service allows you to send invoices to your clients and collect payments through Stripe Connect. By connecting your bank account:

• •You agree to Stripe's Connected Account Agreement and Stripe's Services Agreement
• •A platform fee of 1% is applied to each client payment processed through the Service
• •You are responsible for the accuracy of invoices sent to your clients
• •Payment processing fees charged by Stripe are separate from the platform fee
• •CleanSlate is not responsible for disputes between you and your clients regarding invoiced amounts

6. AI-Powered Operations

The Service uses artificial intelligence to operate autonomously on behalf of your business. By using the Service, you acknowledge that:

• •Ace communicates with your crew members, prospects, and clients via SMS on your behalf
• •AI-generated responses, scheduling decisions, and recommendations are made algorithmically and may occasionally be incorrect
• •You are responsible for reviewing AI actions and overriding decisions when necessary
• •The AI will escalate to you when it encounters situations outside its confidence threshold or decision authority
• •AI-generated proposals, invoices, and other documents should be reviewed before sending to clients
• •We do not guarantee that AI responses will be error-free or that the AI will handle every situation correctly

7. E-Signatures

The Service provides electronic signature functionality for proposals. By using this feature:

• •You acknowledge that electronic signatures collected through the Service are intended to indicate acceptance of proposal terms
• •You are responsible for ensuring that the terms in your proposals are accurate and legally binding in your jurisdiction
• •CleanSlate does not provide legal advice regarding the enforceability of electronic signatures or proposal terms
• •Signed proposals are stored securely and available for download

8. SMS Communications

The Service sends SMS messages on your behalf. You are responsible for:

• •Obtaining appropriate consent from crew members and clients before adding them to the platform
• •Ensuring that your use of SMS communications complies with the Telephone Consumer Protection Act (TCPA) and all applicable federal, state, and local laws
• •Responding to opt-out requests that come through channels outside of SMS (e.g., verbal requests from crew members)

We provide STOP/HELP keyword handling and opt-out tracking as part of the Service.

9. Acceptable Use

You agree not to:

• •Use the Service for any illegal purpose
• •Send unsolicited or spam messages through the Service
• •Provide false or misleading information to prospects or clients through the AI
• •Attempt to access another business's data or account
• •Reverse engineer, decompile, or disassemble any part of the Service
• •Use the Service to harass, threaten, or intimidate any person
• •Interfere with or disrupt the Service or its infrastructure
• •Resell or redistribute the Service without written authorization

10. Data Ownership

You retain ownership of all data you input into the Service, including business information, crew data, client data, contracts, and conversation history. We retain a license to use this data solely to operate and improve the Service. Upon account termination and after the retention period, your data will be permanently deleted.

11. Intellectual Property

The Service, including its design, features, code, AI systems, and branding, is owned by CleanSlate AI, LLC. You may not copy, modify, or create derivative works based on the Service. "CleanSlate" and "Ace" are trademarks of CleanSlate AI, LLC.

12. Limitation of Liability

To the maximum extent permitted by law:

• •The Service is provided "as is" and "as available" without warranties of any kind, express or implied
• •We do not warrant that the Service will be uninterrupted, error-free, or secure
• •We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• •Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• •We are not liable for missed shifts, scheduling errors, or any operational losses resulting from AI decisions
• •We are not liable for SMS delivery failures caused by carrier filtering, network issues, or third-party service outages
• •We are not liable for payment disputes between you and your clients processed through Stripe Connect

13. Indemnification

You agree to indemnify and hold harmless CleanSlate AI, LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

Either party may terminate the subscription at any time. Upon termination:

• •Your access to the Service will end at the conclusion of your current billing period
• •Ace will stop operating (no further SMS will be sent on your behalf)
• •Your data will be retained for 90 days, after which it will be permanently deleted
• •No refunds are issued for partial billing periods, except under the 30-day money-back guarantee

We reserve the right to suspend or terminate your account immediately if you violate these Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CleanSlate AI, LLC regarding the Service.
